1. Introduction

These Terms and Conditions govern the provision of telematics and control room services by PORTING TELEMATICS LIMITED in Kenya. By using our services, the client agrees to comply with these terms.

2. Scope of Services

The provider shall offer:

  • Telematics solutions for vehicle tracking, fleet management, and data analytics.
  • Control room operations for real-time monitoring and incident response.
  • Integration services to ensure compatibility with existing infrastructure.

3. Service Usage & Responsibilities

  • The client shall ensure proper use of telematics devices and control room services.
  • Unauthorized tampering or misuse of equipment may result in service termination.
  • The provider reserves the right to suspend services in case of non-compliance.
  • The customer shall ensure proper use of telematics devices and control room services.
  • Any damage, loss, or unauthorized modification of equipment shall be the customer's responsibility.
  • The provider reserves the right to charge for repairs or replacements due to misuse.

4. Data Security & Privacy

  • The provider shall implement measures to protect client data.
  • Data collected through telematics systems shall be used solely for operational purposes.
  • The customer is responsible for ensuring the accuracy of data entered into the system.
  • The provider shall not be liable for errors resulting from incorrect data input by the customer.
  • The customer must comply with Kenya's Data Protection Act when handling sensitive information.
  • The customer must take reasonable steps to prevent unauthorized access to the system.
  • Any security breach resulting from negligence or weak access controls shall be the customer's liability.
  • The provider reserves the right to suspend services in case of repeated security violations.

5. Payment & Fees

  • Fees shall be determined based on the agreed service package.
  • Payments must be made within the stipulated timeframe.
  • The customer shall be liable for all charges incurred under their account.
  • Late payments may result in service suspension or additional penalties.
  • The provider is not responsible for financial losses due to customer mismanagement of telematics data.

6. Liability & Indemnity

  • The provider shall not be liable for losses due to system failures beyond its control.
  • The client agrees to indemnify the provider against claims arising from misuse of services.
  • The provider shall not be liable for indirect, incidental, or consequential damages arising from service use.
  • The customer acknowledges that telematics data is subject to external factors such as network disruptions.
  • Liability for system failures beyond the provider's control shall be limited.

7. Termination & Dispute Resolution

  • Either party may terminate the agreement with prior notice.
  • Disputes shall be resolved through arbitration in accordance with Kenyan law.

8. Amendments & Governing Law

  • The provider reserves the right to update these terms.
  • These terms shall be governed by the laws of Kenya.
